Terms of Service

These Terms govern all use of TALA, ASHA, and all services operated by RVETH Technologies Limited — across web, desktop, mobile, and WhatsApp, for users worldwide.
1. Agreement to These Terms
RVETH Technologies Limited ("RVETH," "we," "our," or "us") is incorporated in Ireland. We build and operate TALA — an AI-native enterprise operating system — and ASHA, an AI customer service platform (collectively, the "Services").
These Terms of Service ("Terms") are a legally binding contract between you (the "User," "you," or "your") and RVETH. By accessing, registering for, or using any RVETH Service, you agree to be bound by these Terms and our Privacy Policy, incorporated here by reference.
If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not have that authority, or if you do not agree with these Terms, you must not use the Services.
2. Description of the Services
What TALA Is
TALA is an AI-native enterprise operating system. It provides financial management, inventory and supply chain, invoicing, payroll, workforce management, customer management, analytics, document generation, approval workflows, and industry-specific modules for hospitals, hotels, manufacturers, law firms, schools, and other enterprise categories. TALA operates across web, desktop (Windows, macOS, Linux), mobile (iOS, Android), and WhatsApp.
What ASHA Is
ASHA is an AI customer service platform that businesses deploy to interact with their end customers. ASHA is powered by the same infrastructure as TALA and is accessible via shared or dedicated WhatsApp numbers and third-party integrations.
Important Limitations
RVETH IS NOT A FINANCIAL ADVISOR, ACCOUNTANT, AUDITOR, LEGAL ADVISOR, OR REGULATED FINANCIAL INSTITUTION.
TALA's outputs — financial records, reports, AI-generated insights, and summaries — are produced based solely on the data you input. They are operational tools, not professional advice. You remain fully responsible for all business, financial, and legal decisions. RVETH is not liable for decisions made in reliance on TALA's outputs.
AI systems can produce errors. You acknowledge that AI-generated content must be reviewed and verified before reliance.
3. Accounts and Eligibility
You may use the Services only if you are at least 18 years old and capable of entering a binding contract. You are responsible for all activity that occurs under your account. You must maintain the confidentiality of your credentials and notify us immediately at security@rveth.in if you suspect unauthorized access.
For business accounts, the account owner represents that they have authority to bind the business entity and accept these Terms on its behalf.
4. Subscription, Pricing, and Payment
Access to TALA requires a paid subscription. Pricing, plan features, and billing cycles are described on our pricing page and in your subscription agreement. All fees are stated in USD unless otherwise agreed. Subscriptions are billed in advance on a monthly or annual basis.
Taxes: You are responsible for all applicable taxes, duties, and levies imposed by your jurisdiction. Where RVETH is required to collect tax, it will be added to your invoice.
Refunds: Fees paid are non-refundable except where required by applicable law or as expressly stated in your subscription agreement.
We reserve the right to update pricing with 30 days' notice. Continued use of the Services after the notice period constitutes acceptance of the updated pricing.
5. Your Data and Our License to Process It
(a) You Own Your Data
All data you input into TALA — transactions, documents, financial records, customer data, employee records, inventory, and all other business content ("Your Content") — belongs to you. RVETH makes no ownership claim over Your Content.
(b) License to Operate the Services
To deliver the Services, you grant RVETH a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and transmit Your Content solely as necessary to operate TALA and ASHA for you. This license exists only to run the Services — RVETH does not use Your Content for any other purpose without the permissions described in subsection (c).
(c) AI and Product Improvement
You grant RVETH the right to use anonymized, de-identified, aggregated patterns derived from your use of the Services to improve TALA's AI systems, accuracy, and capabilities. RVETH does not use individually identifiable business data or financial records to train AI models. All AI training uses pattern-level behavioral data that cannot be attributed to any specific business or person. Enterprise customers may opt out of this by contacting privacy@rveth.in.
(d) No Sale of Your Data
RVETH does not sell Your Content or any data derived from your business operations to third parties. This is an absolute commitment, not qualified by anonymization.
(e) Data Export and Portability
You may export Your Content from TALA at any time. Upon account termination, we will provide a reasonable period (not less than 30 days) to export your data before deletion.
6. Acceptable Use
You agree not to:
- ●Use the Services for any unlawful, fraudulent, or unauthorized purpose.
- ●Attempt to reverse engineer, decompile, or extract source code, AI models, or proprietary algorithms from the Services.
- ●Use automated systems to scrape, mine, or extract data from the Services outside of our supported API interfaces.
- ●Interfere with or degrade the performance, security, or availability of the Services or their infrastructure.
- ●Attempt to gain unauthorized access to another user's data, account, or any RVETH system.
- ●Submit data you do not have the legal right to process or that violates applicable data protection law.
- ●Resell, sublicense, or white-label the Services without a separate written agreement with RVETH.
Violation of this section may result in immediate account suspension or termination without refund.
7. Intellectual Property
Your Content: As stated in Section 5, you own Your Content. RVETH acquires no ownership interest.
RVETH's IP: RVETH and its licensors exclusively own all right, title, and interest in the Services — including TALA, ASHA, all software, source code, AI models, algorithms, system architecture, trademarks, logos, product names, and all associated intellectual property. Nothing in these Terms transfers any ownership of RVETH's IP to you.
License to Outputs: Subject to your compliance with these Terms and payment of applicable fees, RVETH grants you a limited, non-exclusive, non-transferable license to use reports, documents, and other outputs generated by TALA for your internal business purposes.
Feedback: If you submit feedback, suggestions, or ideas about the Services, you grant RVETH the right to use them without obligation or compensation to you.
8. Confidentiality
Each party agrees to hold the other's confidential information in strict confidence and not to disclose it to any third party without the other party's prior written consent. "Confidential Information" means any non-public technical, financial, operational, or business information marked as confidential or reasonably understood to be confidential in context.
RVETH treats Your Content as your confidential information. RVETH's software, AI architecture, and pricing structures are RVETH's confidential information.
9. Third-Party Services and Integrations
TALA may integrate with third-party services (banks, payment processors, messaging platforms, accounting software). RVETH is not responsible for the availability, accuracy, security, or practices of any third-party service. Your use of third-party services is governed by their own terms and privacy policies. RVETH's liability does not extend to failures or issues caused by third-party services.
10. Uptime and Service Levels
RVETH targets 99.9% monthly uptime for the TALA platform. Scheduled maintenance, force majeure events, and third-party dependency outages (including AWS, Meta/WhatsApp, and Amazon Bedrock) are excluded from uptime calculations. Enterprise customers may request a Service Level Agreement (SLA) with specific uptime commitments and remedies by contacting legal@rveth.in.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RVETH EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, AND NON-INFRINGEMENT.
RVETH does not warrant that the Services will be uninterrupted, error-free, or completely secure. AI-generated outputs are provided without guarantee of accuracy or completeness. You are responsible for verifying all outputs before reliance.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RVETH AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING FROM OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, EVEN IF RVETH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
RVETH's total aggregate liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the greater of: (i) the total fees paid by you to RVETH in the twelve (12) months preceding the claim, or (ii) one thousand United States dollars (USD $1,000).
Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.
13. Indemnification
You agree to defend, indemnify, and hold harmless RVETH Technologies Limited, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Services in violation of these Terms; (b) Your Content; (c) your violation of applicable law; or (d) your violation of any third-party right.
14. Termination
By you: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refund is issued for partial periods unless required by law.
By RVETH: We may suspend or terminate your access immediately if you breach these Terms, fail to pay, or engage in conduct that poses a risk to RVETH or other users. For material breaches, we will provide written notice and 14 days to cure before termination where practicable.
Effect of termination: Upon termination, your right to access the Services ceases. We will provide access to export Your Content for a minimum of 30 days post-termination before deletion. Sections 5(d), 7, 8, 11, 12, 13, 15, and 16 survive termination.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of Ireland, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved through good-faith negotiation shall be finally settled by binding arbitration administered by the International Chamber of Commerce (ICC) under its Arbitration Rules. The seat of arbitration shall be Dublin, Ireland. The language of arbitration shall be English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Notwithstanding the above, either party may seek emergency injunctive relief in the courts of Ireland without waiving arbitration rights.
Class action waiver: You and RVETH each waive the right to bring or participate in any class action, collective, or representative proceeding.
16. General Provisions
Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and RVETH regarding the Services and supersede all prior agreements, representations, and understandings.
Amendments: We may update these Terms. For material changes, we will give at least 30 days' email notice. Your continued use of the Services after the notice period constitutes acceptance.
Severability: If any provision is found to be invalid or unenforceable, the remaining provisions remain in full force.
Waiver: Failure to enforce any provision is not a waiver of the right to enforce it in the future.
Assignment: You may not assign your rights under these Terms without RVETH's prior written consent. RVETH may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force Majeure: RVETH is not liable for delays or failures caused by events outside our reasonable control, including natural disasters, war, cyberattacks, infrastructure outages, or government actions.
